1. Acceptance of These Terms and Conditions

By using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions at all times. If you do not agree, you must not use the Site.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT AFFECTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ SECTION 6 CAREFULLY. IF YOU ARE A CONSUMER LOCATED IN QUEBEC OR THE UNITED KINGDOM, SECTION 6 EXPLAINS HOW THIS CLAUSE APPLIES TO YOU.

2. Intellectual Property

All content published and made available on the Site is the property of Aedval Canada Ltd. and the Site’s creators. This includes, but is not limited to, images, text, logos, documents, downloadable files, and anything else that contributes to the composition of the Site.

3. Limitation of Liability

To the maximum extent permitted by applicable law, Aedval Canada Ltd. and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site.

Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross or intentional fault, or for any other liability that cannot be excluded or limited as a matter of applicable law, including the laws of Quebec and the United Kingdom.

4. Indemnity

Except where prohibited by law, by using the Site you agree to indemnify and hold harmless Aedval Canada Ltd. and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses, including legal fees, arising out of your use of the Site or your violation of these Terms and Conditions. This indemnity does not extend to a claim arising from our own negligence, wilful misconduct, or breach of applicable law, and does not apply to the extent it would be unenforceable against a consumer under applicable law.

5. Applicable Law

These Terms and Conditions are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in that province, without regard to conflict of law principles.
If you are located in Quebec or the United Kingdom, nothing in these Terms and Conditions limits any protection you are entitled to under the mandatory consumer-protection or other laws of your jurisdiction that cannot be waived or displaced by contract, including Quebec’s Consumer Protection Act and the UK’s Consumer Rights Act 2015.

5.1 Users Located Outside Canada, Quebec, and the United Kingdom

If you access or use the Site from a jurisdiction other than Canada or the United Kingdom, these Terms and Conditions still apply to you, and we intend for them to be enforced to the fullest extent permitted by the law of your jurisdiction. If a mandatory law that applies to you grants you rights that cannot be limited or waived by these Terms and Conditions, those rights continue to apply alongside them.

6. Dispute Resolution

Subject to any exceptions specified in these Terms and Conditions, if you and Aedval cannot resolve a dispute through informal discussion, you and Aedval agree to first submit the dispute to a non-binding mediator and, if mediation is unsuccessful, to an arbitrator whose decision will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both you and Aedval, and any mediation or arbitration costs will be shared equally between you and Aedval. Notwithstanding any other provision in these Terms and Conditions, you and Aedval each retain the right to bring an action in small claims court and an action for injunctive relief or intellectual property infringement.

6.1 If You Are a Consumer in Quebec

If you are a consumer within the meaning of Quebec’s Consumer Protection Act, the mandatory arbitration and mediation process described above does not apply to you to the extent that it would require you to waive your right to bring a proceeding before the courts of Quebec, including on behalf of a class, and any such waiver is void as against you. You may bring a claim before the competent courts of Quebec instead.

6.2 If You Are a Consumer in the United Kingdom

If you are a consumer under UK law, nothing in this Section requires you to use mediation or arbitration in place of your right to bring proceedings before the courts of England and Wales, Scotland, or Northern Ireland, as applicable to your place of residence, and any term that would unfairly restrict that right does not apply to you.

7. Severability

If, at any time, a provision of these Terms and Conditions is found to be unenforceable or invalid under applicable law, that provision will be severed and removed from these Terms and Conditions, and the remaining provisions will continue in full force and effect.

8. Changes

We may amend these Terms and Conditions from time to time to comply with the law and to reflect changes to how we operate the Site and how we expect users to behave on it. We will notify users of material changes by email or by posting a notice on the Site, and will update the “Effective Date” at the top of these Terms and Conditions accordingly.

9. Language

These Terms and Conditions are available in English and in French. In accordance with Quebec’s Charter of the French language, a French version has been made available to you. If you are located in Quebec, the French version of these Terms and Conditions will prevail in the event of any discrepancy between the two versions.
